Unsolicited Ideas Policy

BioElectronics Corp. (“BIEL”) has an internal R&D department to generate new product ideas. BIEL may supplement that internal capability from time to time with assistance from consultants. Individuals (non-BIEL employees) are hereby specifically directed NOT to contact BIEL employees directly in an attempt to present ideas – BIEL’s employees present ALL unsolicited product-related ideas to the management team.

To protect the interests of all parties, BIEL will not accept unsolicited ideas from any source other than through the R&D team. Any unsolicited ideas sent to BIEL, including unsolicited ideas/documents sent to a BIEL mailing address, fax machine or email address, directly to BIEL employees will be considered BIEL property. BIEL will NOT pay a fee for any development activities resulting from the receipt of an unsolicited idea. BIEL will consider any unsolicited idea that has been submitted by an individual to be free of any charges or fees.

An individual must obtain advance written approval from BIEL’s board to submit ideas, and then only in conjunction with a valid fully-executed contract for service and in response to a request for information. BIEL will not pay a fee to any individual that does not have such agreement in place.

Such agreements will only be valid if in writing and signed by an officer of BIEL or his or her designee. No other BIEL employee is authorized to bind BIEL to any agreement regarding solicitation of new product ideas. BIEL hereby specifically rejects, and denies any liability under, any agreement purporting to be accepted based on negative consent or any means other than the signature of a BIEL officer.
